This End-User License Agreement (“Agreement”) governs use of the MR Walls Accounting Agent (“App”), an internal business application operated by Romano Studio LLC, doing business as MR Walls (“Romano Studio,” “we,” or “us”). By authorizing or using the App, an authorized user agrees to this Agreement.
1. Internal business use
Romano Studio grants authorized personnel a limited, revocable, non-exclusive, non-transferable right to use the App solely for Romano Studio’s internal accounting and bookkeeping workflows. The App is not offered for resale or public distribution.
2. Connected services and authorization
The App may connect to services such as QuickBooks Online and Stripe only after an authorized administrator approves access. Those services are provided under their own terms. Users must not share credentials or attempt to access companies, accounts, or information they are not authorized to use.
3. Permitted accounting functions
The App may retrieve, organize, reconcile, draft, create, or update accounting records as configured by Romano Studio. Material bookkeeping changes, payments, tax filings, and other consequential actions remain subject to Romano Studio’s approval procedures. The App does not provide legal, tax, investment, or professional accounting advice.
4. Data and security
Users must protect login credentials and promptly report suspected unauthorized access. Romano Studio may retain transaction records, authorization records, and audit information as reasonably necessary for accounting, security, legal, and operational purposes. Personal information is handled according to the MR Walls Privacy Policy.
5. Restrictions
Users may not copy, resell, sublicense, reverse engineer, disrupt, misuse, or use the App unlawfully, nor use it to introduce malicious code or circumvent security controls.
6. Suspension and termination
Romano Studio may suspend or terminate access at any time. Upon termination, the user must stop using the App. Provisions concerning ownership, restrictions, disclaimers, liability, and governing law survive termination.
7. Disclaimer and limitation
The App is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Romano Studio disclaims implied warranties and is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the App or connected third-party services.
8. Changes
Romano Studio may update this Agreement by posting a revised version with a new effective date. Continued use after an update constitutes acceptance of the revised Agreement.
